Leases

As a commercial law firm, we have particular expertise in connection with acting for Landlords or Tenants when taking or granting commercial leases. This is an area where our clients need our specialised advice in relation to both the technical and practical issues of taking or granting a commercial lease. As a Landlord, you want to make sure that you asset is protected, yet as a Tenant you will want to ensure that the rent is kept as low as possible and that you have the flexibility to sell on, underlet or use the property as you may wish in the future.

Q: Do I have to pay Stamp Duty Land Tax?

A: The Inland Revenue introduced Stamp Duty Land Tax on 1 December 2003. It replaced "Stamp Duty" on the purchase of houses, flats, UK land and buildings and certain leases. A purchaser of property now has to complete and submit an 8 page Stamp Duty Land Tax Return to the Inland Revenue, which we complete and submit for our clients.

The rates of Stamp Duty Land Tax for the purchase of non-residential property are as follows:

£150,001.00 to £250,000.00 1%
£250,001.00 to £500,000.00 3%

Q: Do I have to register my Lease at the Land Registry?

A:On 13 October 2003, the Land Registry rules governing which Leases had to be registered changed.

As a result of those changes, new Leases now granted out of either registered or unregistered land that are for a term of 7 years or more from the date of grant, are generally compulsorily registerable. There are of course, some exceptions.

On a transfer or assignment of an existing Lease, which at the date of the transfer or assignment has 7 years or more of its term to run, are, generally speaking, compulsorily registerable. Of course, again there are some exceptions though.

Q: What is commonhold

A: It is a new type of freehold (i.e. a way of owning property), which was effective from 27 September 2004.

Historically, most flats in England and Wales have been leasehold properties. This is partly because the enforcement of positive covenants, such as to maintain support for parts of buildings, has only been available with leasehold land. Commonhold overcomes this problem and offers an alternative to creating a lease and having a landlord.
